The Attorney may do in the name of the Principal and on its behalf, lawful actions necessary or expedient to: 2. 授权代理人可以授权人的名义并代表其作出所有必要或适当的法律行为： (a) execute and deliver all letter of interest,management contracts, side agreement,supplementary aggrement,variation of management contracts,extension agreement,Termination aggrement,license agreements, marketing agreements, service agreements, operating and management agreements, pre-opening service agreements and technical services agreements relating to the franchising, licensing developing, managing or operating of “Crowne Plaza”, ”Holiday Inn”, “Holiday Inn Resort”, “Holiday Inn Express”, “Hotel Indigo” and “Intercontinental” branded hotels and resorts in the PRC, Macau, Special Administrative Region of the PRC, Hong Kong, Special Administrative Region of PRC, and Taiwan (the “Greater China”); (a) 签署并递交在中国、澳门特别行政区、香港特别行政区以及台湾（“大中华区”） 境内特许经营、许可、开发、管理或运营“品牌的酒店及渡假村有关的所有意向书、 酒店管理合同、附属协议、管理合同变更协议、补充协议、延期协议、终止协议、授权 许可协议、营销协议、服务协议、运营及管理协议、开业前服务协议和技术服务协议； (b) execute and deliver any document which are referred to in documents described in (a) or which are ancillary or related to them or contemplated by them; Page 1 of 3 (b) 签署并递交（a）项描述的文件中所引用的、对进行补充的、与其相关的或其预期的 任何其他文件； (c) execute and deliver any document or perform any act, matter or thing relating to the Principal's involvement in the transactions contemplated by the documents described in (a); and (c) 签署并提交（a）项描述的文件所预期的商业交易中与授权人相关的任何文件，或 履行与其相关的任何行动、事项或事宜；及 (d) give effect to the transactions contemplated by the documents described in (a), including, but not limited to, completing blanks and making amendments, alteration or additions. The Principal declares that all lawful acts, matters and things done by the Attorney in exercising powers in accordance with this power of attorney will be as good and valid as if they had been done by the Principal and agrees to ratify and confirm whatever the attorney does in exercising lawful powers in accordance with this power of attorney. 3. 授权人声明，授权代理人根据本授权委托书所做出的所有法律行为、事项或事宜和授权 人所做的一样且具有相同效力，授权人并同意将批准及认可授权代理人根据本授权委 托书行使合法授权所做的所有行为。 4. The Principal indemnifies the Attorney against liability, loss, costs, charges or expenses arising from the lawful exercise of powers in accordance with this power of attorney. 4. 授权人保证补偿授权代理人因依本授权委托书行使合法授权而引起的责任、损失、费用、 花费或支出。 5. The Principal declares that a person (including, but not limited to, a competent authority, firm, body corporate, unincorporated association or authority) who deals with the Attorney in good faith may accept a written statement signed by the Attorney to the effect that this power of attorney has not been revoked as conclusive evidence of that fact unless such person has actual knowledge to the contrary. 5. 授权人声明：一个以诚信与授权代理人处理事宜的人（包括但不限于主管机关、事务所、 Page 2 of 3 法人社团、未组成公司的组织或机构）可接受由授权代理人签署的说明本授权委托书 未被撤销书面声明，以作为委托事实的结论性证据，除非此人知道相反的实情。 6. The Principal declares that the Principal and a person (including, but not limited to, a substitute or assign) claiming under the Principal are bound by any lawful actions the Attorney does in exercising powers in accordance with this power of attorney. 6. 授权人声明: 授权人及以授权人名义提出权利主张的某一个人（包括但不限于替代者或 受让人）受授权代理人依本委托书行使授权所做的任何法律行为的约束。 7. This Power of Attorney is effective from the date hereinabove and valid until the earliest to occur of the following: (i) 31 December 2016; or (ii) for each individual Attorney the date upon which he ceases to be an employee of IHG; or (iii) any date upon which the Principal cancels, revokes or substitutes (in part or in whole) this Power of Attorney. 7. 依本授权委托书之授权自文首之日期开始生效，直至下列最早的情形发生之日终止： (i)2016年12月31日终止；或(ii)授权代理人作为洲际酒店集团之公司雇员的雇佣关系 终止；或(iii)授权人部分或者全部取消、撤回或替换该授权。 8.
